David’s practice focuses on technology, intellectual property and commercial transactions. He has experience assisting clients with intellectual property licensing, software development, and professional services. His transactional expertise includes drafting and negotiating license agreements, software as a service agreements, master services agreements, statements of work, and the intellectual property aspects of mergers and acquisitions.
David began his legal career as an attorney in the corporate and intellectual property group at Gibson, Dunn & Crutcher LLP where he represented technology clients on billions of dollars of transactions.
More recently David worked as House Counsel at Cognizant Technology Solutions where he worked closely with business teams in the design of IT commercial solutions throughout the development cycle addressing all legal issues that arose during the process.
Prior to joining ARCUS, David represented clients on technology deals, including the following representative matters:
Representation of Amazon.com in its $775 million acquisition of Kiva (robotic systems)
Representation of Technicolor in its acquisition of digital cinema delivery assets from Cinedigm
Representation of Cadence Design Systems in its $380 million acquisition of Tensilica (dataplane processing IP)
Representation of Sharp Corporation in connection with the CMO-Innolux merger
Representation of Deloitte Consulting LLP in negotiations with the Commonwealth of Massachusetts for a Master Software Development and Integration Agreement
In 1997, David enlisted in the U.S. Navy where he completed the Nuclear Power Program and served aboard the aircraft carrier U.S.S. Harry S. Truman in the Reactor Department.
